Macrison Last Updated: [4 November 2025]

1. Acceptance of Terms

By accessing and using the website https://macrison.com/, engaging in discussions, or formally contracting with Macrison (referred to as “we,” “us,” or “our”), you agree to be bound by these Terms of Service (the “Terms”). These Terms govern all interactions and services provided by Macrison.

2. Scope of Services (The Macrison Approach)

Macrison provides specialised strategic business and marketing consulting, transformation programs, and execution support, defined by our core philosophy: Fresh Ideas, Bold Moves, and Lasting Impact.

  • Service Definition: All contracted Services—including Corporate Strategy, Commercial Growth, Business Transformation, and Marketing & Brand Consulting—will be formally defined in a signed Statement of Work (“SOW”) or Service Agreement.

  • Advice Only: You acknowledge that Macrison provides expert advice, strategies, and recommendations. Macrison is not responsible for the implementation of the strategy, the client’s operational decisions, or any outcomes stemming from external factors such as market conditions, competitor action, or changes in technology.

3. Fees, Invoicing, and Payment

  • Pricing: All fees are detailed in the SOW, payable in Australian Dollars (AUD), and are subject to GST (Goods and Services Tax), where applicable.

  • Engagement Terms: A 50% deposit or a pre-agreed retainer is typically required to commence any strategic engagement. Milestone or periodic payments will be specified in the SOW.

  • Payment Due Date: Invoices are due and payable within 14 days of the invoice date. Failure to meet payment obligations may result in the temporary suspension of services.

4. Confidentiality and Intellectual Property (IP)

  • Confidentiality: Both Macrison and the client agree to treat all non-public information received from the other party as confidential. This includes, but is not limited to, business models, financial data, client lists, internal processes, and strategic recommendations.

  • Client IP: The client retains full ownership of all existing IP provided to Macrison.

  • Service IP: Upon full payment of all invoices, the client is granted a non-exclusive, perpetual, worldwide licence to use the final strategic documents, reports, models, and specialised assets created specifically for the client as part of the Services. Macrison retains the underlying ownership, templates, tools, and general methodologies used in delivering the Services.

5. Limitation of Liability and Disclaimer

  • No Warranty: Macrison provides services with reasonable care and skill. However, we do not warrant that our advice or services will result in specific financial results, revenue generation, or business success.

  • Liability Cap: Macrison’s liability for any and all claims arising out of or in connection with the Services provided shall not exceed the total fees paid by the client to Macrison under the relevant SOW in the 2 months immediately preceding the event giving rise to the claim.

  • Governing Law: These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, and both parties submit to the exclusive jurisdiction of the courts located in Sydney.

6. Termination

Either party may terminate the engagement in accordance with the terms specified in the SOW. In the absence of specific SOW clauses, either party may terminate by providing 14 days’ written notice.
